TERMS, WAIVER & CANCELLATION POLICY

Please read the following terms and conditions carefully before submitting your booking application for SHPSHFTR Gallery.

1. GENERAL TERMS

By submitting a booking application, you agree to the terms and conditions outlined in this document. SHPSHFTR Gallery reserves the right to approve or decline any booking application at its sole discretion.

Approved bookings are confirmed only upon receipt of full payment within the specified payment window. Failure to complete payment within the allocated timeframe will result in automatic expiry of the booking.

SHPSHFTR Gallery reserves the right to amend these terms at any time. The terms applicable at the time of booking confirmation will apply for the duration of that booking.

2. INDEMNITY & LIABILITY WAIVER

The exhibitor is solely responsible for insuring their own works for the full duration of the exhibition, including any setup and teardown periods. SHPSHFTR Gallery does not provide insurance cover for exhibited works.

The exhibitor agrees to indemnify and hold harmless SHPSHFTR Gallery, its owners, staff, and agents from and against any claims, damages, losses, costs, or expenses arising from:

  • Damage to or loss of exhibited works from any cause
  • Injury to persons visiting the exhibition
  • Damage to the gallery space or fixtures caused by the exhibitor or their agents
  • Any breach of these terms and conditions

The exhibitor acknowledges that the gallery is a shared and public space, and accepts all risks associated with displaying works in such an environment.

3. INSTALLATION & DEINSTALLATION

Exhibitors must adhere to the gallery's designated installation and deinstallation times. Setup and teardown must be completed within the allocated day or days as specified in the booking.

If you require a dedicated setup or teardown day, please select these options when making your booking. Setup and teardown days are charged at the applicable daily rate.

All works, materials, and equipment must be removed from the gallery by the end of the teardown period.

The exhibitor must restore the gallery space to its original condition. Any damage to walls, floors, or fixtures will be charged to the exhibitor.

4. COLLECTION OF ARTWORKS

The exhibitor must collect all unsold artworks, materials, and equipment from the gallery during the designated deinstallation period or within any agreed collection window following the exhibition.

If artworks or materials are not collected within 14 days of the exhibition closing date or another agreed timeframe, SHPSHFTR Gallery may, at its discretion:

  • charge reasonable storage fees
  • move the works to off-site storage at the exhibitor's expense
  • arrange return shipping at the exhibitor's expense

If items remain uncollected for 60 days after written notice has been provided to the exhibitor, SHPSHFTR Gallery reserves the right to dispose of, donate, or otherwise deal with the items to recover storage or administrative costs.

The exhibitor releases SHPSHFTR Gallery from any liability relating to artworks or materials left at the premises beyond the agreed collection period.

5. CANCELLATION POLICY

Cancellations are subject to the following refund schedule, based on the number of days remaining before the exhibition start date.

SHPSHFTR Gallery reserves the right to offer alternative refund amounts at its discretion. All refunds are processed via the original payment method and may take up to 10 business days to appear.

In exceptional circumstances, SHPSHFTR Gallery may need to cancel a booking. In such cases, a full refund will be provided.

6. SALES, INVENTORY & PAYOUTS

Inventory & Point of Sale

All artworks and merchandise approved for sale during the exhibition may be added to the SHPSHFTR Gallery POS system for the duration of the exhibition. This allows for direct credit card and cash transactions to be processed on site.

The exhibitor is responsible for:

  • Providing a complete and accurate inventory list including prices prior to the exhibition opening
  • Clearly identifying which works are available for sale
  • Ensuring all pricing is final and inclusive of GST where applicable

SHPSHFTR Gallery does not guarantee sales, staffing, or active sales representation beyond facilitating access to the POS system.

Artwork Pricing

The exhibitor must provide final retail prices for all artworks and merchandise prior to the exhibition opening.

Prices displayed within the gallery and within the SHPSHFTR POS system must remain consistent for the duration of the exhibition.

The exhibitor agrees not to offer the same works to buyers introduced through the exhibition at a lower price outside the gallery during the exhibition period.

Any discounts or price adjustments must be agreed with SHPSHFTR Gallery prior to being offered to buyers.

Commission & Settlement

SHPSHFTR Gallery takes a …% commission on all artworks and merchandise sold as a direct result of the exhibition, including sales processed through the gallery POS system or negotiated on site during the exhibition period.

Net earnings, less gallery commission and any applicable transaction costs, will be distributed to the exhibitor within 14 working days of the exhibition closing date.

Payment will be made via bank transfer or another agreed payout method. The exhibitor is responsible for providing correct payout details.

Commission Protection

All artworks or merchandise displayed as part of the exhibition are considered to be offered for sale through SHPSHFTR Gallery for the duration of the exhibition period.

The gallery commission applies to any sale resulting from the exhibition, including but not limited to:

  • sales processed through the gallery POS system
  • sales negotiated or agreed within the gallery premises
  • sales made directly between the exhibitor and a buyer introduced through the exhibition
  • sales completed shortly after the exhibition where the buyer first encountered the work during the exhibition

The exhibitor agrees not to circumvent the gallery commission by completing private sales with buyers introduced through the exhibition.

If a sale occurs outside the gallery POS system but results from the exhibition, the exhibitor must notify SHPSHFTR Gallery and pay the applicable commission.

This commission obligation continues for 30 days following the exhibition in relation to buyers first introduced to the works during the exhibition.

Payment Processing Fees

Credit card payments processed through the SHPSHFTR Gallery Shopify POS system incur payment processing fees charged by the payment provider.

These fees currently consist of:

  • 3.5% of the transaction value
  • $0.30 per transaction

Where a sale is processed through the gallery POS system, applicable payment processing fees will be deducted from the sale proceeds prior to settlement with the exhibitor.

Gallery commission is calculated on the gross sale price of the artwork, after which any applicable payment processing fees are deducted.

Net earnings payable to the exhibitor therefore reflect:

Where artworks are purchased through other payment channels facilitated by SHPSHFTR Gallery, including online payment gateways or third-party payment providers, any applicable transaction or processing fees charged by those providers may also be deducted prior to settlement with the exhibitor.

Payment methods that do not incur card processing fees, such as cryptocurrency transactions, will not be subject to card processing deductions.

Chargebacks & Payment Disputes

Where a payment processed through the SHPSHFTR POS system is later disputed, reversed, or subject to a chargeback by the payment provider, SHPSHFTR Gallery reserves the right to recover the disputed amount from the exhibitor where the sale relates to the exhibitor's artwork.

If a chargeback occurs after payout has already been made to the exhibitor, the exhibitor agrees to reimburse SHPSHFTR Gallery for the disputed amount and any associated payment processing or chargeback fees incurred.

SHPSHFTR Gallery will make reasonable efforts to assist in resolving payment disputes where possible but cannot guarantee the outcome of any chargeback investigation.

7. EXHIBITOR RESPONSIBILITIES & SELF-MANAGED EXHIBITIONS

SHPSHFTR Gallery operates primarily as a facilitated exhibition space rather than a fully managed gallery program.

The exhibitor remains responsible for the overall management and presentation of their exhibition, including but not limited to:

  • Exhibition concept, curation, and presentation
  • Installation and artwork placement
  • Staffing the gallery during public hours where required
  • Promotion, marketing, and audience outreach
  • Managing collectors, enquiries, and post-sale communication
  • Packaging, delivery, or collection of sold works

At its discretion, SHPSHFTR Gallery may provide informal guidance or practical assistance with exhibition setup, layout, artwork placement, labelling, or general presentation.

Any such assistance is provided as a courtesy and does not constitute curatorial representation, exhibition management services, or a contractual obligation on the part of the gallery.

Except for the limited purpose of facilitating sales through the gallery POS system as described in Section 6, SHPSHFTR Gallery does not act as agent, manager, or representative of the exhibitor unless explicitly agreed in writing prior to the exhibition.

The gallery's core role remains limited to:

  • Providing the exhibition space
  • Providing agreed infrastructure and fixtures
  • Facilitating POS access where applicable
  • Maintaining the premises

All creative, operational, and commercial outcomes of the exhibition remain the responsibility of the exhibitor.

8. USE OF SPACE & EVENTS

The gallery space must be used solely for the approved exhibition.

Any opening events, talks, performances, screenings, or gatherings associated with the exhibition are organised and managed by the exhibitor.

The exhibitor is responsible for ensuring that all events are conducted safely and in compliance with applicable laws, regulations, and local council requirements.

If alcohol is served, the exhibitor is solely responsible for complying with all licensing laws and responsible service requirements.

The exhibitor is responsible for the conduct and safety of guests attending any exhibitor-organised event.

To the maximum extent permitted by law, the exhibitor agrees to indemnify and hold harmless SHPSHFTR Gallery, its owners, staff, and agents from any claims, damages, injuries, or liabilities arising from events organised or hosted by the exhibitor.

SHPSHFTR Gallery does not provide event management, crowd control, security, or bar services unless explicitly agreed in writing.
